By accessing or using Vruum ("Vruum," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you and Vruum governing your use of our AI-powered sales automation platform.

2. Description of Service

Vruum provides a B2B AI-powered sales automation platform that enables users to:

• Manage leads and contacts
• Generate personalized outreach messages using AI
• Automate multi-channel outreach (email and LinkedIn)
• Analyze replies and score leads
• Schedule follow-ups and manage campaigns
• Integrate with third-party email, calendar, and data enrichment services

3. Account Registration and Security

To use Vruum, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 18 years old and have the authority to bind yourself or your organization to these Terms.

4. Acceptable Use Policy

You agree to use Vruum only for lawful purposes. You must NOT:

4.1 Spam and Unsolicited Communications

• Send unsolicited bulk messages or spam
• Violate CAN-SPAM, GDPR, CASL, or other applicable anti-spam laws
• Use purchased email lists without proper consent verification
• Send messages with deceptive subject lines or content

4.2 Platform Policies

• Violate LinkedIn, Gmail, Outlook, or other platform terms of service
• Circumvent platform rate limits or security measures
• Use automation in ways that violate platform policies

4.3 Prohibited Content

• Send harassing, threatening, or abusive content
• Distribute malware, phishing attempts, or fraudulent content
• Infringe on intellectual property rights
• Engage in illegal activities

4.4 System Abuse

• Attempt to reverse engineer or hack our systems
• Interfere with or disrupt our services
• Exceed reasonable usage limits
• Resell or redistribute access without authorization

5. User Content and Data

5.1 Your Ownership

You retain ownership of all data you upload to Vruum, including lead data, contact information, and message content. We do not claim ownership of your data.

5.2 License to Process

By using our service, you grant Vruum a limited, non-exclusive license to process your data as necessary to provide the service. This includes:

• Storing and retrieving your data
• Processing data through AI systems for message generation
• Analyzing data for lead scoring and insights
• Transmitting data to connected third-party services

5.3 Your Responsibilities

You are responsible for ensuring you have the legal right to use and process the data you upload to Vruum, including proper consent where required.

6. Third-Party Integrations

Vruum integrates with third-party services including email providers (Gmail, Outlook), social platforms (LinkedIn), and others.

• Your use of these integrations is subject to the terms of service of each provider
• You authorize Vruum to access these services on your behalf via OAuth or API
• We are not responsible for changes to third-party services or their availability
• You are responsible for maintaining valid credentials for connected services

7. AI-Generated Content

Vruum uses artificial intelligence to generate outreach messages and analyze data. You acknowledge and agree that:

• AI-generated content should be reviewed before sending
• You are responsible for all content sent through your account
• AI may occasionally produce inaccurate or inappropriate suggestions
• We do not guarantee the effectiveness or accuracy of AI-generated content
• You should verify factual claims in AI-generated messages

8. Payment Terms

If you subscribe to a paid plan:

• Fees are charged in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Failure to pay may result in service suspension

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Vruum is provided "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for actions taken by third-party platforms in response to your use of their services

10. Indemnification

You agree to indemnify and hold harmless Vruum and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, violation of these Terms, or violation of any third-party rights.

11. Termination

Either party may terminate this agreement at any time:

• You may close your account at any time through account settings
• We may suspend or terminate accounts that violate these Terms
• We may discontinue the service with 30 days' notice
• Upon termination, your data will be deleted per our Privacy Policy

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of the United States.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website and updating the "Last updated" date. Your continued use of Vruum after changes take effect constitutes acceptance of the modified Terms.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Vruum regarding the service
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect
• No Waiver: Failure to enforce any right does not waive future enforcement
• Assignment: You may not assign your rights without our consent
