Terms of Service

1. Agreement to Terms

By accessing or using Vruum ("Vruum," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you and Vruum governing your engagement with our service-as-software firm. Specific commercial terms — pricing, scope of work, deliverables, and any data-processing agreement — are set out in a separate signed engagement agreement between Vruum and the client. These Terms apply to all use of the Vruum platform regardless of whether a separate engagement agreement is in force.

2. Description of Service

Vruum is a service-as-software firm. We operate the outbound revenue motion for B2B clients on their behalf — research, sourcing, copy, multichannel outreach, paid demand-gen, and meeting booking — as a delivered outcome rather than a self-serve software license. Each Vruum client is paired with one operator at our firm who runs an internal agent stack on the client's behalf and approves every strategic action before it is executed.

The Vruum platform supports the following functions:

• Prospect research, sourcing, and segmentation
• AI-assisted message drafting subject to operator review and approval
• Multichannel outreach (email and LinkedIn) executed under the client's connected accounts
• Reply detection, sentiment and intent classification, and lead scoring
• Paid demand-gen ("ad-warming") on the client's connected ad accounts, with cohort-level attribution
• Meeting capture, deal tracking, and reporting
• Integrations with third-party email, calendar, advertising, and data-enrichment services

3. Account Registration and Security

To use Vruum, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 18 years old and have the authority to bind yourself or your organization to these Terms.

4. Acceptable Use Policy

You agree to engage Vruum only for lawful purposes. You must not direct Vruum to, and Vruum will not, do any of the following:

4.1 Spam and Unsolicited Communications

• Send unsolicited bulk messages or spam
• Violate CAN-SPAM, GDPR, CASL, or other applicable anti-spam laws
• Use purchased email lists without proper consent verification
• Send messages with deceptive subject lines or content

4.2 Platform Policies

• Violate LinkedIn, Gmail, Outlook, or other platform terms of service
• Circumvent platform rate limits or security measures
• Use automation in ways that violate platform policies
• Use advertising APIs (LinkedIn Marketing API, Google Ads API) for any purpose other than the connected client's own legitimate advertising on their own connected account
• Scrape, harvest, enrich, or resell platform member data outside the platform's documented data-export pathways

4.3 Prohibited Content

• Send harassing, threatening, or abusive content
• Distribute malware, phishing attempts, or fraudulent content
• Infringe on intellectual property rights
• Run paid advertising or organic outreach for political, regulated, adult, or otherwise prohibited categories under applicable advertising-platform policies
• Engage in illegal activities

4.4 System Abuse

• Attempt to reverse engineer or hack our systems
• Interfere with or disrupt our services
• Exceed reasonable usage limits
• Resell or redistribute access without authorization

5. Operator Approval Gate

Vruum is an operator-and-agent firm: AI agents draft and execute volume work, and a Vruum operator approves the strategic actions before they reach an external platform. In particular:

• Outreach messages are drafted by AI and reviewed by an operator before being sent under the client's connected accounts.
• Paid advertising campaigns are created in draft state and require explicit operator approval before being created, paused, resumed, or edited on the client's connected ad account.
• Every campaign mutation (status change, budget edit, audience update) is recorded in an audit log accessible to the client.

The client retains the right to revoke any connected integration at any time via the settings UI, which immediately suspends Vruum's ability to act on the client's behalf for that integration.

6. Client Content and Data

6.1 Client Ownership

The client retains ownership of all data uploaded to or generated within Vruum during the engagement, including prospect data, contact information, message content, ad creatives, and landing-page artifacts. Vruum does not claim ownership of client data.

6.2 License to Process

The client grants Vruum a limited, non-exclusive license to process client data as necessary to deliver the service. This includes:

• Storing and retrieving the data within Vruum's infrastructure
• Processing data through AI systems for drafting, analysis, and lead scoring
• Transmitting data to connected third-party services to perform the work the client has hired Vruum to do
• Computing hashed identifiers (SHA-256) for the purpose of building Matched Audiences on advertising platforms

6.3 Client Responsibilities

The client is responsible for ensuring it has the legal right to direct Vruum to process the data it provides, including proper consent or other lawful basis where required, and for honoring data-subject requests in coordination with Vruum.

7. Third-Party Integrations

Vruum integrates with third-party services including email providers (Gmail, Outlook), LinkedIn, calendar providers (Calendly, Cal.com, Google Calendar, Outlook Calendar), advertising platforms (LinkedIn Marketing API, Google Ads API), data-enrichment services (Hunter.io, Sales Navigator), and others.

• The client's use of these integrations is subject to the terms of service of each provider
• The client authorizes Vruum to access these services on the client's behalf via OAuth or API for the purpose of delivering the engaged service
• For advertising integrations, the client's ad account is operated solely under the client's own credentials and the client's own payment method on file with the advertising platform; Vruum does not operate a master ad account and does not process ad-spend funds
• Vruum is not responsible for changes to third-party services, their availability, or actions a third-party service takes in response to permitted activity (for example, platform-imposed rate limits or account reviews)
• The client is responsible for maintaining valid credentials for connected services

8. AI-Generated Content

Vruum uses artificial intelligence to draft outreach messages, ad copy, and analytical outputs. The client acknowledges and agrees that:

• AI-generated content is reviewed by a Vruum operator before being sent or executed (see Section 5)
• The client is responsible for all content sent under its connected accounts
• AI may occasionally produce inaccurate or inappropriate suggestions; operator review is the gating control
• Vruum does not guarantee the effectiveness or accuracy of AI-generated content
• Factual claims in AI-generated messages and ad creatives should be verified against the client's own source-of-truth materials

9. Payment Terms

Vruum's commercial relationship with each client is governed by a separate signed engagement agreement. The general structure is:

• Vruum charges a service fee for the managed-service work it performs, billed in advance on a monthly or annual basis as set in the engagement agreement
• Ad spend on connected advertising platforms (LinkedIn, Google) is paid by the client directly to the platform under the client's own payment method; Vruum does not invoice for, mark up, or hold ad-spend funds
• All Vruum service fees are non-refundable except as required by law or as specified in the engagement agreement
• Pricing changes apply with 30 days' notice unless otherwise agreed
• Failure to pay may result in service suspension

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Vruum is provided "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for actions taken by third-party platforms in response to your use of their services

11. Indemnification

You agree to indemnify and hold harmless Vruum and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, violation of these Terms, or violation of any third-party rights.

12. Termination

Either party may terminate this agreement at any time:

• You may close your account at any time through account settings
• We may suspend or terminate accounts that violate these Terms
• We may discontinue the service with 30 days' notice
• Upon termination, your data will be deleted per our Privacy Policy

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of the United States.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website and updating the "Last updated" date. Your continued use of Vruum after changes take effect constitutes acceptance of the modified Terms.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Vruum regarding the service
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect
• No Waiver: Failure to enforce any right does not waive future enforcement
• Assignment: You may not assign your rights without our consent
